1. Acceptance of Terms

By accessing or using Omni‑Audit (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service. We reserve the right to modify these Terms at any time; continued use constitutes acceptance.

2. Eligibility

You must be at least 18 years old to use the Service. By registering, you represent and warrant that you have the legal capacity to enter into a binding agreement.

3. Account Registration

  • You must provide accurate and complete registration information.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You agree to notify us immediately of any unauthorized use of your account.

4. Subscription and Payment

4.1 Plans

Omni‑Audit offers Free, Pro, and Enterprise subscription plans. Features and pricing are displayed on our Billing page and are subject to change with notice.

4.2 Billing

Paid subscriptions are billed in advance on a monthly or annual basis. You authorize us to charge your chosen payment method for the applicable fees.

4.3 Cancellation

You may cancel your subscription at any time from your dashboard settings. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial periods unless required by law.

4.4 Free Tier

The Free plan includes 5 scans per month. We reserve the right to modify or discontinue the Free plan with reasonable notice.

5. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose or in violation of applicable laws.
  • Upload malicious code, viruses, or attempt to disrupt the Service.
  • Attempt to gain unauthorized access to other users’ accounts or data.
  • Use automated means (scraping, bots) to access the Service without permission.

6. Intellectual Property

Omni‑Audit and its licensors own all rights, title, and interest in the Service, including all software, algorithms, designs, and trademarks. You are granted a limited, non‑exclusive, non‑transferable license to use the Service for its intended purpose.

You retain ownership of the documents and data you upload. By uploading, you grant us a limited license to process that data solely to provide the Service.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR‑FREE, OR COMPLETELY SECURE.

Omni‑Audit provides financial intelligence tools; however, we are not a financial advisor. Any recovered funds or identified savings are estimates, and you should verify findings independently.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OMNI‑AUDIT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

9. Termination

We may suspend or terminate your account if you violate these Terms. Upon termination, your right to access the Service ceases immediately. Provisions that by their nature should survive termination (including disclaimers, limitations of liability) shall survive.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the courts of New York, New York.
